Additional Terms and Conditions for Commercial Users:

If you are a commercial user of the IFC - NCASI FICAT (tm) model and documentation, and registered with us as such, you must agree to the following conditions. In consideration of the promises you make below, and for only so long as you comply with your obligations below, IFC hereby grants you a limited, royalty free, worldwide, nonexclusive license (without any right to sublicense) under the intellectual property rights owned by IFC in and to the current FICAT (tm) model and documentation version available here ("Works") to (i) use the Works to provide, or assist in providing, a carbon assessment or footprint to any entity as part of any commercial or for profit venture between yourself and such entity and (ii) to copy or reproduce the Works or any portion thereof only as such copying is strictly necessary to conducting the use authorized above. As a condition of receiving this license you agree that you:
(1) receive no other rights from IFC or NCASI and will not make any unauthorized use of their names or trademarks,
(2) will provide timely and accurate feedback to IFC and/or NCASI (via this site or other means identified by them to you) relating to the Works and any ideas, suggestions or improvements about, to or for the Works which your use of the Works engenders, stimulates or helps create (collectively, "Improvements")
(3) will not modify, reverse engineer, disassemble, distribute or sell the Works, and
(4) hereby grant, and agree to grant and take any reasonable actions at IFC's request to perfect (at no out of pocket cost to you), IFC a limited, perpetual, royalty free, worldwide, nonexclusive license (fully sublicensable by IFC to any user of any version of the Works) under any intellectual property rights owned by you (now or in the future) in and to the Improvements for use only in a version of the Works.
